Acceptance of these terms
These Terms of Service ("Terms") form a binding agreement between you (or the business you represent) and ZenithStack LLC, a Delaware limited liability company ("ZenithStack," "we," "us," "our"). By creating an account, accessing, or using the ZenithStack platform (the "Service"), you agree to these Terms and to our Privacy Policy.
If you're entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you don't agree to these Terms, don't use the Service.

Definitions
- "Account"
- — your registered user record on the Service.
- "Tenant"
- — the isolated workspace tied to your Account (one Account = one Tenant unless you're on a multi-brand plan).
- "Customer Content"
- — anything you upload, input, or configure: brand assets, knowledge base, FAQs, tracked prompts.
- "Generated Output"
- — audits, blog posts, digests, and other artifacts the Service produces on your behalf.
- "Credits"
- — the unit of usage on the Service. Each paid plan includes a monthly credit allocation; operations (audit, blog generation, tracker run, etc.) consume credits at posted rates.
- "Subscription Term"
- — your active billing period (monthly unless we agree otherwise in writing).

The Service
ZenithStack provides a SaaS platform for measuring brand citations inside large language models (LLMs), generating content to close citation gaps, distributing that content to indexing surfaces, and reporting on the resulting lift. Specific features include:
- AEO audits and a daily citation tracker across ChatGPT, Claude, Perplexity, and Gemini.
- A free, ungated public scorecard at /audit for one-shot domain analysis (no signup required, rate-limited to keep usage costs sane).
- An auto-generated content factory with a daily gap-fill blog option.
- Distribution helpers including IndexNow notifications, JSON-LD schema injection, and social share bars.
- A weekly attribution digest delivered by email, plus a quarterly impact report summarizing 90-day citation lift.
- A configurable chat agent for embedding on customer websites.
- An admin dashboard, credit ledger, and billing portal.
We may add, modify, or retire individual features. If we retire a paid feature that you specifically relied on, we'll give you reasonable notice and a credit or partial refund for the unused portion of your then-current term.

Your account
- You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract.
- You're responsible for the accuracy of the information on your account and for keeping your credentials secure. Notify us promptly at security@zenithstack.ai if you suspect unauthorized access.
- One person should not maintain multiple free-trial accounts to extend the trial period. We reserve the right to consolidate or suspend duplicate accounts.
- You're responsible for all activity that happens under your account, whether or not you authorized it.

Subscription, billing, free trial, refunds
Pricing + billing cycle
Current plans are Solo ($99/mo), Growth ($499/mo), Pro ($1,499/mo), and Agency (starting at $2,499/mo + $99/brand above 10), each priced in USD. Annual billing is available at approximately 17% off the monthly rate. Subscriptions renew monthly or annually until cancelled. Stripe processes payments; you authorize recurring charges to your chosen payment method when you start a paid plan.
Free trial
Solo and Growth plans ship with a 3-day free trial; Pro ships with a 2-day free trial; Agency has no automatic trial (hands-on onboarding instead). The trial grants full access. If you cancel during the trial, you will not be charged. After the trial ends, your selected plan will auto-convert to a paid subscription unless you cancel.
Cancellation
You can cancel at any time from the dashboard. Cancellation stops the next renewal — you retain access through the end of the billing period you've already paid for. You don't need to give us a reason.
Refunds
Because the Service incurs non-recoverable third-party API costs (OpenAI, Perplexity, Gemini, Stripe), we do not generally refund partial-month usage. We will issue a refund or credit if (a) we materially fail to deliver the Service for an extended period due to our fault, (b) you were billed in error, or (c) applicable consumer protection law in your jurisdiction (e.g., the EU 14-day right of withdrawal for non-business users) entitles you to one. Taxes
Prices are exclusive of any sales, VAT, GST, or other applicable taxes, which we'll add at checkout where required by law.
Price changes
We may change prices on future billing cycles. If we do, we'll email you at least 30 days before the new price applies, giving you time to cancel before the next renewal at the old price.

Credits and usage
- Each plan includes a monthly credit allocation. Indicative rates: 1 credit per tracker call per engine, 10 credits per AEO audit, 25 credits per ~1,500-word generated blog post. We may revise rates with 30 days' notice.
- Monthly plan credits do not roll over to the next billing cycle.
- Top-up credit packs purchased separately remain available for 12 months from purchase and are non-refundable.
- Credits have no cash value, cannot be transferred between accounts, and aren't redeemable for cash.

Acceptable use
You agree not to use the Service to:
- Generate or distribute content that's defamatory, fraudulent, deceptive, infringing, harassing, hateful, sexually explicit involving minors, or that promotes violence.
- Impersonate any person, brand, or organization, or misrepresent your affiliation with them.
- Generate misleading product claims, fabricated reviews, or fake testimonials.
- Run political campaigning, election-influence operations, or generate content designed to disrupt democratic processes.
- Train competing models on the Service's outputs, scrape the platform at scale, or reverse-engineer it.
- Send unsolicited bulk email through the chat agent or the Service's email integrations.
- Circumvent rate limits, credit metering, or other technical safeguards.
- Use the Service in violation of applicable law, including export controls, sanctions, or data-protection law.
If we believe in good faith that your use violates this AUP, we may suspend or terminate your account, with notice where practicable. Repeated or egregious violations may result in permanent termination without refund.

Your content + IP
You retain all rights, title, and interest in your Customer Content. You grant ZenithStack a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your Customer Content solely to deliver the Service to you. This license ends when you delete the content or close your account.
You represent and warrant that (a) you own or have the necessary rights to upload your Customer Content, and (b) your Customer Content does not infringe any third-party rights and complies with applicable law.

Output of the Service is yours
Subject to your compliance with these Terms, ZenithStack assigns to you all rights, title, and interest in the Generated Output — blog posts, audit reports, digests, and other artifacts the Service produces specifically for your Tenant. You can publish, modify, sublicense, or otherwise use this output without crediting ZenithStack.
However, you understand that:
- Generated Output may include ideas, phrases, or factual statements that are also generated for other customers, because LLM output is non-unique by nature. We don't guarantee originality at the sentence level.
- Generated Output may contain inaccuracies, hallucinations, or omissions. You are the publisher of record — review before publishing anything that materially impacts customers, regulators, or third parties.
- Generated Output is not legal, medical, tax, financial, or other professional advice.

Our IP
The Service itself — including the website, dashboard, prompt-engineering libraries, ranking heuristics, attribution logic, API, source code, documentation, and ZenithStack name and logos — is owned by ZenithStack LLC and protected by intellectual property law. No license to the Service's underlying IP is granted to you except the right to use it as described in these Terms. You may not copy, modify, distribute, sell, lease, or reverse-engineer the Service or any portion of it.

Third-party integrations
The Service offers optional integrations with third-party services (currently Zapier; others may be added). You may connect an integration by minting an API key from the Integrations page in your dashboard.
When you connect an integration, you authorize us to send events from your tenant — such as new audit-lead captures, citation-drop alerts, and blog-published events — to that third party on your behalf. Future integrations may also read data from third parties under permissions you explicitly grant; those will be governed by this same section when added.
Each third-party integration is governed by that third party's own terms and privacy policy. ZenithStack is not responsible for actions you take inside the third-party service, for the third party's availability or reliability, or for changes the third party makes to its API. You can disconnect any integration at any time from the Integrations page; we'll stop sending events to that third party but cannot recall events already delivered.
API keys you mint for the Service are personal to your tenant and must be kept confidential. You are responsible for all activity performed under your API key. Revoke a key immediately if you believe it has been compromised.

Confidentiality
Each party may receive confidential information from the other. The receiving party will (a) use the same degree of care to protect it as it uses for its own confidential information (and no less than reasonable care), (b) use it only to perform under these Terms, and (c) not disclose it to third parties except to its employees and subprocessors with a need to know and a duty of confidentiality. Confidential information does not include information that is publicly known through no fault of the receiving party, independently developed, or rightfully received from a third party without restriction.

Warranty disclaimer
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, ZenithStack disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or trade usage.
In particular: ZenithStack does not warrant that the Service will be uninterrupted or error-free; that ranking, citation share, or revenue outcomes will improve; that LLM providers (OpenAI, Anthropic, Perplexity, Google) will continue to make their APIs available on current terms; or that Generated Output will be accurate, complete, or non-infringing. Some jurisdictions don't allow the exclusion of certain warranties, so portions of this section may not apply to you.

Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or anticipated savings — even if advised of the possibility.
- Each party's aggregate liability arising out of or related to these Terms is capped at the greater of (i) the amount you paid to ZenithStack in the 12 months preceding the event giving rise to the claim, or (ii) US$100.
- The above limitations do not apply to: (a) either party's indemnification obligations, (b) ZenithStack's data-protection obligations under the Privacy Policy, (c) your payment obligations, or (d) liability that cannot be limited under applicable law (e.g., gross negligence, willful misconduct, fraud).

Indemnification
By you. You will defend and indemnify ZenithStack against any third-party claim arising from (a) your Customer Content, (b) your use of Generated Output (including any decision to publish or distribute it), (c) your breach of these Terms, or (d) your violation of applicable law.
By us. ZenithStack will defend and indemnify you against any third-party claim alleging that the Service itself, used as described in our documentation, infringes that party's intellectual-property rights. This obligation does not apply to claims based on (i) modifications you made, (ii) combinations with materials we didn't provide, (iii) your Customer Content or Generated Output, or (iv) your continued use after we notified you of an infringement risk.

Term + termination
- By you. Cancel at any time from the dashboard. Your account remains active through the end of the paid billing period.
- By us. We may suspend or terminate your access if you materially breach these Terms (including the AUP) and don't cure within 14 days of written notice, or immediately for egregious breaches (illegal activity, security threat, repeated AUP violations).
- Effect of termination. Your access ends, recurring billing stops, and we delete live tenant data within 30 days (encrypted backups roll off within 90 days). You may export your data via the dashboard before termination. Sections that should survive termination (definitions, IP, confidentiality, warranty disclaimer, liability, indemnification, governing law, general) will continue to apply.

Changes to these Terms
We may update these Terms. For material changes — changes that reduce your rights or expand our remedies — we'll email registered users at least 30 days before the new version takes effect. Non-material changes (clarifications, typos, additional safeguards) may be made without notice. Your continued use of the Service after the effective date means you accept the updated Terms. If you don't accept, your remedy is to cancel before the effective date.

Governing law + dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. We'll try to resolve any dispute informally first — please email legal@zenithstack.ai with a clear description of the issue and the resolution you want. If we can't resolve it within 30 days, the dispute will be settled by individual binding arbitration administered by JAMS in Wilmington, Delaware, under JAMS Streamlined Arbitration Rules. The arbitrator's award is final and enforceable in any court of competent jurisdiction.
Class action waiver. You and ZenithStack agree to bring claims on an individual basis only. Class actions, class arbitrations, and representative proceedings are not permitted, to the extent allowed by applicable law.
Consumer carve-outs. If you're a consumer in the EU, UK, Switzerland, or another jurisdiction with mandatory consumer-protection law, you retain the rights and remedies guaranteed by that law, including the right to bring proceedings in your local courts. Nothing in this section displaces those rights.

General
- Entire agreement. These Terms, together with the Privacy Policy and any order form or supplemental terms we agree to in writing, form the entire agreement between us.
- Severability. If any provision is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Assignment. You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Notices. We'll send legal notices to the email address on your account; please keep it current. Send notices to us at legal@zenithstack.ai.
- Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control (e.g., upstream API outages, natural disasters, large-scale internet failures, government action).
- No agency. These Terms don't create a partnership, employment, agency, or joint venture between us.
